Uganda's Sukuk Rules Face First Major Test with Sovereign Issuance

Uganda’s financial landscape is poised for a significant development with the upcoming issuance of the nation’s first sovereign Sukuk. This Islamic finance instrument, structured differently from conventional bonds by being asset-linked rather than debt-based, will be used to fund approximately 15% of the first phase of the Standard Gauge Railway (SGR) project.

Recently, the Capital Markets Authority (CMA) finalized 60 guidelines governing Sukuk, establishing a comprehensive regulatory framework for Islamic capital markets in Uganda. These rules mandate that at least 53% of funds raised must be backed by tangible assets, a requirement designed to ensure investors hold a genuine share in real assets. The structure also necessitates the creation of a Special Purpose Vehicle (SPV) incorporated within Uganda to hold the Sukuk’s assets.

The government plans to issue approximately €405 million in Sukuk, with portions allocated to regional and international investors. This issuance aims to diversify government funding sources while managing debt sustainability.

Legal experts Sophia Kigozi and Carol B. Nabaleke note that while the guidelines provide a clear structure, the fiscal treatment of Sukuk transactions, such as stamp duty and VAT, remains a significant variable for issuers. Discussions with the Ministry of Finance are ongoing to ensure parity with conventional instruments.

The introduction of these guidelines and the subsequent sovereign issuance represent a key moment for Uganda’s Islamic finance market. The effectiveness of the new rules in attracting investors and ensuring Sharia compliance will be closely watched.
