URSB Overturns Director Appointment in Late Garuga's Companies After Rukikaire's Challenge

The Uganda Registration Services Bureau (URSB) has invalidated the appointment of lawyer Agaba Maguru as a director in three companies previously managed by the late businessman James Garuga Musinguzi. The ruling came after Mathew Rukikaire, a former minister, contested the resolutions that led to Maguru’s appointment as managing director following Musinguzi’s death last year.

Rukikaire asserted his position as a shareholder in Garuga Properties Limited, holding a small but legally recognized stake. Garuga Properties Limited is a significant shareholder in Kinkizi Development Company Limited and Incafex Limited, which were also overseen by Musinguzi.

Following Musinguzi’s passing, meetings were held where Maguru was appointed managing director. However, Rukikaire argued that these appointments and subsequent filings with the URSB were not legally authorized and therefore invalid. He contended that the resolutions could not grant Maguru any legal authority.

While Maguru and another director, Henry Hapa Nganwa, disputed Rukikaire’s standing, citing his minor shareholding and lack of direct shares in Kinkizi and Incafex, the URSB disagreed. Assistant Registrar of Companies, Daniel Nasasira, ruled that Rukikaire possessed sufficient legal interest as a shareholder of Garuga Properties Limited to challenge the decisions concerning the other companies where Garuga Properties held a majority stake.

The ruling highlighted that Rukikaire was not notified of the extraordinary general meeting for Garuga Properties Limited, despite being entitled to attend. Consequently, Nasasira declared Maguru’s directorship in Garuga Properties Limited unlawful and ordered its removal from URSB records, effectively nullifying the appointment.

This decision restores the company’s registration to its state before the contested resolutions were enacted, upholding the rights of existing shareholders. At the heart of the matter was the legal interpretation of corporate personality versus the rights of a shareholder with a demonstrable interest in a parent company that controls other entities.
