URSB Strikes Off Over 37,000 Companies for Non-Compliance

The Uganda Registration Services Bureau (URSB) has taken a significant step by deregistering a substantial number of companies, totaling 37,702. This action, in line with the Companies Act, Cap 106, targets businesses that have failed to meet their statutory obligations, specifically the filing of annual returns for five years, and have not sought restoration.

Officials from URSB stated that affected companies received notifications on July 20, 2023, and August 14, 2023. These notices urged them to file overdue annual returns. However, the majority did not comply with the directives.

Companies that wish to be reinstated on the official register were required to submit an application to the Registrar of Companies within a twelve-month period from the date they were removed. This public notice, dated June 18, 2026, highlights the bureau’s commitment to maintaining an accurate and active company registry.

The consequence of this deregistration means that the names of these 37,702 companies will be moved to the list of dissolved entities. Importantly, these names will become available for public use again after twelve months from the date of deregistration. This opens up opportunities for entrepreneurs to potentially register new businesses using these previously held company names.
